Terms of Business

These Terms of Business apply to all quotations, contracts and works undertaken by Green & Glass Ltd unless otherwise agreed in writing.

They are intended to form part of every contract entered into between Green & Glass Ltd ('the Company') and the Client.

1. Definitions

'Company' means Green & Glass Ltd.

'Client' means the person or organisation instructing the Company.

'Works' means the goods and services described in the Quotation.

'Contract' means the Quotation together with these Terms of Business.

'Practical Completion' means the Works are substantially complete and fit for their intended purpose, notwithstanding minor snagging items.

2. Formation of Contract

The Contract is formed when the Client accepts the Quotation in writing, pays the deposit, instructs the Company to proceed, or the Company commences the Works. No amendment shall be binding unless agreed in writing.

3. Quotations

Quotations remain valid for three months unless otherwise stated. They are based upon visible site conditions at the time of survey. Unforeseen conditions, including hidden services, drainage, foundations, contamination, rock or unsuitable ground may result in additional costs. Such works shall be treated as a variation.

4. Scope of Works

The Company shall complete the Works described within the Quotation. Any item not expressly included shall be deemed excluded.

5. Variations

Any change requested by the Client after acceptance shall constitute a Variation. Variations may affect the Contract Sum and programme and will be confirmed before implementation where reasonably practicable.

6. Contract Price & Payment

Standard payment schedule:

  • 10% upon acceptance.
  • 30% four weeks prior to commencement.
  • 50% when the structure is weather-tight.
  • 10% within seven days of Practical Completion.

7. Retention of Title

Ownership of all materials remains with the Company until payment has been received in full.

8. Client Obligations

The Client shall provide reasonable access, ensure relevant permissions are obtained unless included, disclose known underground services and make payments in accordance with the Contract.

9. Planning & Building Regulations

Unless expressly included, obtaining planning permission, lawful development certificates and Building Regulation approvals remains the Client's responsibility.

10. Site Conditions

The Company shall not be responsible for concealed defects or conditions that could not reasonably have been identified before commencement.

11. Programme

Programmes are estimates only. Delays caused by weather, supply chain issues, utilities, third parties, variations or other matters outside the Company's control shall entitle the Company to a reasonable extension of time.

12. Working Hours

Normal working hours are Monday to Friday between 8.00am and 5.00pm, subject to operational requirements.

13. Materials

Equivalent materials may be substituted where specified products become unavailable, provided overall quality is maintained.

14. Utilities

The Client shall provide reasonable access to water and electricity where required for construction.

15. Electrical & Mechanical Installations

Electrical works shall comply with applicable Building Regulations and Part P where required. Manufacturer warranties shall apply to installed equipment.

16. Practical Completion

Practical Completion shall occur when the Works are substantially complete and capable of their intended use. Minor snagging shall not delay Practical Completion or final payment.

17. Snagging

The Company shall rectify agreed snagging items within a reasonable period following Practical Completion.

18. Warranty

The Company provides a 10-year structural warranty and a 12-month workmanship warranty, subject to normal use and maintenance. Manufacturer warranties remain separate.

19. Warranty Exclusions

The warranty excludes fair wear and tear, misuse, accidental damage, flooding, storm damage, fire, lack of maintenance, ground movement, alterations by third parties and events beyond the Company's control.

20. Timber & Natural Materials

Timber is a natural material and seasonal movement, shrinkage, expansion and minor surface checking are normal characteristics and shall not constitute defects.

21. Insurance & Risk

The Company shall maintain appropriate insurance during the Works. Risk in the completed Works passes to the Client upon Practical Completion.

22. Suspension & Termination

The Company may suspend or terminate the Contract for non-payment or material breach after giving reasonable notice where appropriate.

23. Cancellation

Where the Client cancels after acceptance, the Company reserves the right to recover reasonable costs incurred including design, administration, labour commitments, ordered materials and supplier cancellation charges.

24. Force Majeure

The Company shall not be liable for delays caused by events beyond its reasonable control, including severe weather, supplier shortages, strikes, utility interruptions, government action or other force majeure events.

25. Privacy

Personal information shall be processed in accordance with applicable UK data protection legislation and used only for administering the Contract, warranty obligations and customer support.

26. Complaints

Complaints should be submitted in writing. The Company will investigate promptly and seek to resolve matters fairly.

27. Limitation of Liability

Nothing in these Terms excludes liability that cannot lawfully be excluded. Subject to this, the Company's liability shall be limited to direct losses arising from breach of contract or negligence.

28. Governing Law

These Terms shall be governed by the laws of England and Wales and the Courts of England and Wales shall have exclusive jurisdiction.

29. Entire Agreement

The Quotation, drawings, specifications and these Terms constitute the entire agreement between the parties.

30. Acceptance

By accepting the Quotation or instructing Green & Glass Ltd to commence the Works, the Client confirms acceptance of these Terms of Business.
